AIMUSICGen.ai Commercial License Agreement

2.1 "Generated Content" refers to all content (including but not limited to songs, music videos, and any other materials) created by the Licensee through the Platform's artificial intelligence technology using the credits provided during their subscription period.

2.2 "Commercial Use" includes but is not limited to sales, licensing, distribution, playback, adaptation, public performance, and any other use that directly or indirectly generates economic benefits.

2.3 "Subscription Period" refers to the annual subscription period for which the Licensee has paid.

The Licensee is authorized to use the licensed works in all of the following scenarios:

4.1 The Platform hereby grants the Licensee complete, perpetual, worldwide ownership and rights of use forall content (including but not limited to songs, music videos, and any other generated materials) created using the credits provided during their annual subscription period.

4.2 The rights granted to the Licensee include but are not limited to:

• Right to use, copy, store, and modify the generated content
• Right to distribute, publish, and list the content through any media channels
• Right to create and exploit derivative works
• Right to publicly display, perform, and broadcast the content
• Right to use works for commercial purposes without restriction
• Right to sublicense any of the above rights to third parties
• Right to exercise all rights of ownership in any jurisdiction worldwide
• Right to use for merchandising and product licensing
• Right to incorporate into software, applications, and digital products
• Right to use in virtual reality, augmented reality, and metaverse environments
• Right to use for NFTs and blockchain-based applications
• Right to synchronize with visual media of any kind
• Right to remix, sample, and create mashups
• Right to use for algorithmic and AI training purposes
• Right to use in perpetuity across all current and future media formats

4.3 This commercial license applies to all content (including but not limited to songs, music videos, and any other generated materials) created using the credits provided during the annual subscription period. All content generated with the subscription credits is covered by this license with lifetime validity.

4.4 Any content created using the annual subscription credits shall retain all commercial rights and privileges granted herein in perpetuity. Such perpetual rights shall survive the expiration or termination of the subscription period and remain valid indefinitely for all content generated during the subscription.

4.5 This license encompasses all possible commercial uses, including but not limited to any current or future technologies, platforms, media formats, and distribution methods. The Licensee has complete freedom to exploit the licensed works in any lawful manner they deem appropriate for their business or personal needs.

5.1 The Licensee commits to comply with the platform's terms of use and policies.

5.2 The Licensee commits not to use the generated content for illegal or harmful purposes.

5.3 The Licensee acknowledges the comprehensive usage rights granted in this agreement.

6.1 The Platform warrants that it has the necessary rights and authorization to provide the services agreed upon in this agreement.

6.2 The Platform warrants that the generated content will not infringe upon existing copyrights of third parties.

6.3 The Platform warrants that, in accordance with the open-source licenses of the underlying AI models, it has the right to grant users commercial usage rights for all content generated on the platform.

6.4 The Platform makes no warranties regarding the quality, merchantability, or fitness for a particular purpose of the generated content.

7.1 The Platform shall not be liable for any direct or indirect losses caused by the Licensee's use of the generated content.

7.2 The Licensee shall assume all risks and responsibilities associated with the use of the generated content.
